June 07, 2021
On May 25, 2021, Cravath partner John W. White co-chaired the American College of Governance Counsel’s 2021 “ESG and the Boardroom” program. Following an interview of Leslie Seidman, former chair of the Financial Accounting Standards Board and audit chair on several public company boards, the program used a case study to guide discussion of challenging governance issues encountered in advising boards of directors on ESG matters, including board responsibilities, director fiduciary duties related to ESG oversight, crisis management, regulatory enforcement and private litigation. Cravath partner Michael Arnold, whose practice has a focus on ESG matters, was nominated as an attendee for the master class and participated in the program. The American College of Governance Counsel is a professional, educational and honorary association of lawyers that promotes a high level of professional standards among governance lawyers and a better understanding and broader adoption of best practices within business organizations.
