Kloeckner & Co SE’s Offering of New Ordinary Shares

Cravath acted as U.S. counsel to Kloeckner & Co SE in connection with its €527 million 144A/Reg. S rights offering of new ordinary registered shares. Kloeckner & Co SE is the largest producer-independent steel and metal distributor in the European and North American markets combined, measured by sales. The shares were listed on the Frankfurt Stock Exchange. Hengeler Mueller acted as German counsel to the company. The transaction closed on June 10, 2011.
