Lennar’s $1.2 Billion Senior Notes Offering

Cravath represented the initial purchasers, led by Citigroup, Bank of America Merrill Lynch, Deutsche Bank Securities, Goldman Sachs & Co. LLC, Mizuho Securities, RBC Capital Markets and Wells Fargo Securities, in connection with the $1.2 billion 144A/Reg. S senior notes offering of Lennar Corporation, one of the nation’s largest homebuilders and a provider of real estate related financial services. Proceeds of the offering will be used to finance the pending acquisition of CalAtlantic Group, Inc. by Lennar. The transaction closed on November 29, 2017.

The Cravath team included partner Andrew J. Pitts and associate D. Ana Choi on securities matters, and associate Arvind Ravichandran on tax matters. Dominic V. Capasso also worked on securities matters and Leon B. Dalezman worked on tax matters.
