Matthew Morreale Named to Lawdragon’s 2021 List of Leading Environmental & Energy Lawyers

On March 16, 2021, Cravath partner Matthew Morreale was named to Lawdragon’s inaugural list of “500 Leading Environmental & Energy Lawyers.” The list, which recognizes the “most effective lawyers in the areas of environmental protection and energy” across private firms, government, environmental organizations and academia, is based on journalistic research, input from firms and other lawyers and vetting with environmental and energy law experts.

    National Grid’s £7.8 Billion Acquisition of Western Power Distribution and $3.8 Billion Sale of The Narragansett Electric Company

    On March 18, 2021, National Grid plc (“National Grid”) announced that it has agreed to acquire Western Power Distribution, the UK’s largest electricity distribution business, from PPL Corporation (“PPL”) for an equity value of £7.8 billion, and that National Grid has agreed to sell The Narragansett Electric Company, Rhode Island’s largest electricity transmission and distribution service provider, to PPL for an equity value of $3.8 billion. Cravath is representing National Grid in connection with the transactions.

    Cravath represented Crown Castle International Corp. in connection with its $3.25 billion registered senior notes offering. Crown Castle International Corp. is an owner, operator and lessor of shared wireless infrastructure. The transaction closed on February 16, 2021.

    Cable One’s $2.2 Billion Acquisition of Hargray Communications

    On February 15, 2021, Cable One, Inc. (“Cable One”) announced that it has entered into a definitive agreement to acquire the equity interests in Hargray Acquisition Holdings, LLC (“Hargray”) that it does not already own. The equity interests to be acquired by Cable One represent approximately 85% of Hargray on a fully diluted basis. The transaction, which implies a $2.2 billion total enterprise value for 100% of the equity interests of Hargray on a debt-free and cash-free basis, will expand Cable One’s presence into the Southeastern U.S. and enable Cable One to capitalize on Hargray’s experience and expertise in fiber expansion. Cravath is representing Cable One in connection with the transaction.

    On January 11, 2021, IBM announced that it has acquired 7Summits, a leading Salesforce consultancy with more than a decade of delivering digital experiences across industries. The acquisition extends IBM’s portfolio of Salesforce services and experience design capabilities and further advances IBM’s hybrid cloud and AI strategy. Cravath represented IBM in connection with the transaction.
