On April 22, 2021, Cravath partner Michael L. Arnold participated in “Corporate Governance in Private Equity,” a webinar hosted by Travers Smith as part of a series of webinars focused on sustainability themes relevant to alternative asset managers. Michael and his fellow panelists discussed corporate governance and responsible investment in the private equity sphere, including whether corporate law and fiduciary duties drive private equity firms and their portfolio companies to focus on Environmental, Social and Governance (“ESG”) issues, law reform proposals that encourage private companies to respond to stakeholder and societal concerns, and the role of corporate “purpose” in the private equity space.

On March 18, 2021, National Grid plc (“National Grid”) announced that it has agreed to acquire Western Power Distribution, the UK’s largest electricity distribution business, from PPL Corporation (“PPL”) for an equity value of £7.8 billion, and that National Grid has agreed to sell The Narragansett Electric Company, Rhode Island’s largest electricity transmission and distribution service provider, to PPL for an equity value of $3.8 billion. Cravath is representing National Grid in connection with the transactions.

On November 10, 2020, Ulta Beauty, the largest U.S. beauty retailer, and Target Corporation announced a strategic, long‑term partnership to transform the beauty landscape with Ulta Beauty at Target. The “shop‑in‑shop” concept will offer established and emerging prestige brands online and debut at more than 100 Target locations nationwide starting in 2021, with plans to scale to hundreds more over time. Cravath is representing Ulta Beauty with assistance on certain matters from Foley & Lardner LLP in connection with the partnership.

Cravath represented The Restaurant Group PLC in connection with its £315 million 144A/Reg. S rights issue of new ordinary shares to finance the acquisition of Wagamama Group. The Restaurant Group PLC is a significant participant in the UK casual dining market which operates across three divisions: leisure, pubs and concessions. Cravath also represented The Restaurant Group PLC in connection with its £559 million acquisition of Mabel Topco Limited, the parent company of Wagamama. The transaction closed on December 18, 2018.
