Mike Schler Speaks on Corporate Taxation

On March 27, 2014, Cravath partner Michael L. Schler participated in the sixth annual “Corporate Taxation: Tax Planning for Mergers, Acquisitions and Other Transactions,” an advanced CLE course presented by the American Law Institute and co‑sponsored by the ABA Section of Taxation and held in Washington, D.C. Mike spoke on a panel entitled “Issues in the Purchase or Sale of a Consolidated Subsidiary,” which discussed the issues that arise from a purchased or sold consolidated subsidiary, the effect on earnings and profits and the potential solutions to these issues in stock purchase agreements.
