NCR Escrow Corp.'s $1.1 Billion High-Yield Senior Debt Offering

Cravath represented the initial purchasers, led by J.P. Morgan Securities, BofA Merrill Lynch, RBC Capital Markets, SunTrust Robinson Humphrey and Wells Fargo Securities, in connection with the US$1.1 billion 144A/Reg. S high-yield senior debt offering of NCR Escrow Corp., a wholly owned subsidiary of NCR Corporation. NCR Corporation is a leading global technology company. Proceeds of the offering will be used to finance the previously announced acquisition by NCR Corporation of Digital Insight Corporation. The transaction closed on December 19, 2013.
