New Year’s Resolutions for Director Compensation from Investors Bancorp

In response to a recent decision from the Delaware Supreme Court raising questions as to how to implement director compensation in order to achieve deference under the business judgement rule, rather than an entire fairness review, on January 23, 2018, Cravath collaborated with several other law firms to prepare a memo entitled “New Year’s Resolutions for Director Compensation from Investors Bancorp.” The memo summarizes the key elements of the decision and suggests ways to minimize potential exposure.
