Oceaneering International’s Registered Senior Notes Offering

February 07, 2018

Cravath represented the underwriters, led by Credit Suisse, Wells Fargo Securities, J.P. Morgan Securities, DNB Markets, HSBC and Bank of America Merrill Lynch, in connection with the $300 million registered senior notes offering of Oceaneering International, Inc., a global provider of engineered services and products, primarily to the offshore oil and gas industry. The transaction closed on February 6, 2018.

The Cravath team included partner Bill Whelan, senior attorney Annmarie M. Terraciano and associate Quinn Wetherall on securities matters, and associate Cecily Xi and foreign associate attorney Jean‑Baptiste Frantz on tax matters. Vardhman Shankar also worked on securities matters.

The transaction closed on November 24, 2025.

      Smurfit Westrock’s Registered Senior Notes Offerings

      Cravath represented the underwriters in connection with the $800 million registered senior notes offering of Smurfit Westrock Financing DAC and the €500 million registered senior notes offering of Smurfit Kappa Treasury Unlimited Company, each a wholly owned subsidiary of Smurfit Westrock plc, one of the world's largest integrated manufacturers of paper‑based packaging products. The notes are expected to be listed on Euronext Dublin. The transactions closed on November 21, 2025, and November 24, 2025, respectively.
