Pentair Finance S.A.’s $1.15 Billion and €500 Million Registered Senior Debt Offerings

Cravath represented the underwriters, led by BofA Merrill Lynch, Citigroup, JP Morgan Securities, MUFG and US Bancorp, in connection with the US$1.15 billion registered senior debt offering of Pentair Finance S.A., a wholly owned subsidiary of Pentair plc, a diversified industrial manufacturing company. The transaction closed on September 16, 2015. Cravath also represented the underwriters in connection with Pentair Finance’s concurrent €500 million registered senior debt offering, which closed on September 17, 2015. Proceeds of both offerings were used to finance the acquisition of ERICO Global Company by Pentair plc.
