Phillips 66 Company’s $2 Billion Registered Junior Subordinated Notes Offering

Cravath represented the underwriters in connection with the $2 billion registered junior subordinated notes offering of Phillips 66 Company, guaranteed by Phillips 66, an energy manufacturing and logistics company with midstream, chemicals, refining, marketing and specialties businesses. The transaction closed on September 18, 2025.

The Cravath team included partner Ryan J. Patrone and associate Courtney T. Seager on capital markets matters; associates Josh Banafsheha and Frederick Schemel on tax matters; and senior attorney Annmarie M. Terraciano on environmental matters. Catherine M. Crevecoeur also worked on capital markets matters.
