Phillips 66 Partners LP’s Registered Notes Offering

Cravath represented the underwriters, led by Barclays, Citigroup, Goldman Sachs & Co. LLC and RBC Capital Markets, in connection with the $900 million registered notes offering of Phillips 66 Partners LP, a growth-oriented master limited partnership formed by Phillips 66 to own, operate, develop and acquire primarily fee-based crude oil, refined petroleum products and natural gas liquids pipelines, terminals and other midstream assets. The transaction closed on September 6, 2019.
The Cravath team included partners D. Scott Bennett and Andrew J. Pitts and associates Kevin P. Gibson and Christopher M. Tierney on securities matters, and associate Jiyeon K. Barta on tax matters.
