On March 24, 2023, Cravath partner Richard Hall spoke at the 35th Corporate Law Institute, which was hosted by Tulane University Law School from March 23‑24, 2023 in New Orleans, Louisiana, and featured judges and leading professionals to discuss the latest developments in M&A, corporate and securities law. Richard spoke on a panel entitled “The Impact of Regulatory Developments in the Current M&A Market.”

On December 21, 2022, IsoPlexis, a life sciences company with platforms that provide insights into how multi-functional immune cells communicate and respond, and Berkeley Lights, a life sciences tools company, announced a definitive agreement under which Berkeley Lights will acquire IsoPlexis in an all-stock transaction. Under the terms of the agreement, IsoPlexis shareholders will receive 0.612 shares of Berkeley Lights stock for each IsoPlexis share they hold. Following the close of the transaction, Berkeley Lights shareholders will own approximately 75.2 percent of the combined company, and IsoPlexis shareholders will own approximately 24.8 percent of the combined company. The combined company will be named PhenomeX. Cravath is representing IsoPlexis in connection with the transaction.

On December 13, 2022, Lifezone Metals, a developer of cleaner battery metals, announced it has entered into a definitive agreement for a business combination with GoGreen Investments, a publicly-listed special acquisition company. The transaction will create the first nickel resource and green technology company listed on the NYSE and, upon completion, the combined company will operate under the “Lifezone Metals” name and be listed under the ticker symbol “LZM.” The transaction values the combined company at a pro forma implied equity value of up to approximately $1.0 billion. Cravath is representing Lifezone Metals in connection with the transaction.

On October 11, 2022, Brookfield Renewable Partners (“Brookfield Renewable”), together with its institutional partners and Cameco Corporation (“Cameco”), announced they are forming a strategic partnership (“the consortium”) to acquire Westinghouse Electric Company (“Westinghouse”), one of the world’s largest nuclear services businesses, for a total enterprise value of $7.875 billion.

On March 31, 2022, Swvl Inc. (“Swvl”), a global provider of transformative tech-enabled mass transit solutions, announced the completion of its previously announced business combination with Queen’s Gambit Growth Capital, the first special purpose acquisition company founded and led entirely by women, following an extraordinary general meeting of Queen’s Gambit’s shareholders held on March 30, 2022. The combined company has changed its name to Swvl Holdings Corp. On April 1, 2022, Swvl Holdings Corp’s Class A ordinary shares and warrants are expected to commence trading on NASDAQ under the ticker symbols “SWVL” and “SWVLW”, respectively. Cravath is representing Swvl in connection with the transaction.
