SEC Confidential Review of Registration Statements After the JOBS Act

On May 1, 2012, Cravath prepared for its clients a memo entitled “SEC Confidential Review of Registration Statements After the JOBS Act.” The memo discusses the JOBS Act’s provision for the confidential review of emerging growth companies’ registration statements and the December 2011 policy statement by the SEC’s Division of Corporation Finance concerning the availability of confidential review of foreign issuers’ registration statements. The interaction between those two protocols for confidential submissions is also discussed.
