SEC’s Changes to Proxy and Form 10-K Disclosure Requirements

On December 18, 2009, Cravath issued to its clients a memo entitled “SEC Adopts Changes to Proxy and Form 10-K Disclosure Requirements.” The memo discusses the SEC’s adoption of several new requirements relating to the disclosures public companies must make in their proxy statements and their Annual Reports on Form 10-K concerning their directors’ qualifications and experience, their board leadership structure and compensation consultants, among other matters.
