SEC’s Proxy Disclosure Enhancements

On July 2, 2009, Cravath issued to its clients a memo entitled “SEC Proposes Proxy Disclosure Enhancements.” The memo discusses the SEC’s proposed amendments to the proxy rules with respect to compensation disclosure, corporate governance disclosure and the disclosure of the outcome of shareholder votes.
