Shea Homes’ High‑Yield Senior Notes Offering

Cravath represented the initial purchaser, J.P. Morgan Securities, in connection with the $450 million 144A/Reg. S high‑yield senior notes offering of Shea Homes Limited Partnership and Shea Homes Funding Corp. (together, “Shea Homes”). Shea Homes is one of the largest privately owned homebuilders in the United States. The transaction closed on February 20, 2020.
The Cravath team included partners Joseph D. Zavaglia and Sasha Rosenthal‑Larrea, associates Matthew L. Ploszek, Alexander Lee Abelson and Samyel Lee on securities matters, and associates Rory M. Minnis and Kyle R. Jorstad on tax matters. Stuti Sarin also worked on securities matters.
