Shire’s $12.1 Billion Registered Senior Debt Offering

Cravath represented the underwriters, led by Barclays, Bank of America Merrill Lynch and Morgan Stanley, in connection with the US$12.1 billion registered senior debt offering of Shire Acquisitions Investments Ireland DAC, guaranteed by Shire plc., a leading global biotechnology company. Proceeds of the offering will be partially used to repay loans that were borrowed by Shire to finance the acquisition of Baxalta. The notes were listed on the New York Stock Exchange. The transaction closed on September 23, 2016.
