Spring Enforcers Summit 2022: DOJ and FTC Double Down on New Era of Enforcement

On April 5, 2022, Cravath prepared a memo for its clients entitled “Spring Enforcers Summit 2022: DOJ and FTC Double Down on New Era of Enforcement,” which examined key antitrust developments discussed at the Spring Enforcers Summit held by the FTC and the Antitrust Division of the DOJ on April 4, 2022. The Summit focused on the agencies’ commitment to revising the merger guidelines, protecting nascent competition and litigating anticompetitive deals and the new updates to the DOJ’s Leniency Policy. The memo concludes the agencies’ heightened antitrust scrutiny should be considered as a deal risk and companies should negotiate transaction agreements that carefully allocates that risk.
