Team Health Common Stock Sale by Blackstone Affiliate

Cravath represented the underwriter, BofA Merrill Lynch, in connection with the sale by Ensemble Parent LLC of 8 million shares of Team Health common stock in a secondary offering at a price of $29.36 per share. Team Health is a portfolio company of Ensemble Parent LLC, an investment fund affiliated with the Blackstone Group. The transaction closed on September 17, 2012.

The Cravath team included partner Stephen L. Burns, senior attorney Daniel A. O’Shea and associate Sarah Kahn Sellers.
