Cravath’s London Office Moves to 100 Cheapside
On December 1, 2020, Cravath partner Thomas E. Dunn co‑moderated a discussion as part of CSC’s Delaware Seminar Series, which is part of the organization’s Continuing Legal Education and Professional Development Programs. The discussion featured Vice Chancellor Morgan Zurn of the Delaware Court of the Chancery and covered topics including recent decisions by the Delaware Supreme Court and Chancery Court, and how the COVID‑19 pandemic has impacted practice in the state’s courts.

Cravath represented Radius Global Infrastructure, Inc. in connection with its domestication and U.S. stock exchange listing of its common shares, warrants and preferred shares. Radius Global Infrastructure, Inc., through its subsidiaries, the APW Group, is one of the largest international aggregators of rental streams underlying wireless sites. Radius Global Infrastructure, Inc. was formerly known as Digital Landscape Group, Inc. The shares were listed on the Nasdaq Global Market. The transaction closed on October 5, 2020.

On August 22, 2020, the Austria-based binderholz Group, a leading European company for solid wood products and innovative building solutions, announced it had entered into a definitive agreement to purchase substantially all the assets of the Florida‑based sawmill operator Klausner Lumber One, LLC after prevailing in an auction held on August 21, 2020 pursuant to Section 363 of the United States Bankruptcy Code. Klausner Lumber One, LLC is currently in Chapter 11 proceedings in the U.S. Bankruptcy Court for the District of Delaware. Cravath is representing binderholz Group in connection with the transaction, which closed on September 21, 2020.

On November 19, 2019, Landscape Acquisitions Holdings Limited (“Landscape”) announced that it has entered into a definitive agreement to acquire AP WIP Investments Holdings, LP, one of the largest global aggregators of real property interests underlying wireless telecommunications cell sites, for consideration of approximately $860 million consisting of cash, shares and assumption of debt. Cravath is representing AP WIP Investments Holdings, LP in connection with the transaction.

On November 12, 2019, Pixelle Specialty Solutions (“Pixelle”) announced that it has signed a definitive purchase agreement to acquire specialty paper mills in Jay (“Androscoggin”), ME and Stevens Point, WI from Verso Corporation for $400 million. Upon closing, Pixelle will be the largest specialty paper business in the U.S. in terms of annual production. Cravath is representing Pixelle in connection with the transaction.
