TransDigm’s High‑Yield Senior Subordinated Notes Offering

Cravath represented the initial purchasers, led by Citigroup, Credit Suisse, Morgan Stanley and RBC Capital Markets, in connection with the $500 million 144A/Reg. S high‑yield senior subordinated notes offering of TransDigm UK Holdings plc, guaranteed by TransDigm, Inc., a leading global designer, producer and supplier of highly engineered aircraft components. Proceeds of the offering were used to replenish the cash used to finance TransDigm’s acquisitions of Kirkhill Inc. and Extant Components Group Holdings, Inc. and for general corporate purposes. The notes will be listed on the Irish Stock Exchange. The transaction closed on May 8, 2018.
