TRW Automotive Holdings’s Common Stock Offering

February 26, 2013

Cravath represented the underwriters, BofA Merrill Lynch and Morgan Stanley, in connection with the US$591 million secondary offering of common stock of TRW Automotive Holdings Corp., one of the world’s largest automotive suppliers. The 10 million shares sold in the offering were held by Automotive Investors L.L.C., an affiliate of The Blackstone Group L.P., and certain members of TRW management. The transaction closed on February 26, 2013.

The Cravath team included associates John C. Duffy and Andrew B. Langworthy on corporate matters, associate Rachel H. Kiwi on tax matters and senior attorney Annmarie M. Terraciano on environmental matters.

    Cravath represented the initial purchasers in connection with the $1.4 billion and €850 million Rule 144A/Reg. S high yield senior secured notes offering of Albion Financing 1 S.à r.l and Aggreko Holdings Inc., subsidiaries of Albion Holdco Limited (“Aggreko”), for the purpose of repaying all of Aggreko’s outstanding senior secured notes and senior notes, paying a dividend and repaying certain preference shares. The offering closed on May 21, 2025.

TenneT Holding B.V. is the top holding company of the TenneT Group, a leading European grid operator and transmission system operator for the Netherlands and a large part of Germany. The transaction expired on May 13, 2025.
