Cravath represented Gannett Co., Inc. in connection with its $497 million private placement of convertible senior secured notes in exchange for the retirement of an equal amount of term loans. Gannett Co., Inc. is a media and marketing solutions company. The transaction closed on November 17, 2020.

On August 5, 2019, New Media Investment Group Inc. (“New Media”) and Gannett Co., Inc. (“Gannett”) announced they have entered into a definitive agreement pursuant to which New Media will acquire Gannett for a combination of cash and stock, which brings together the portfolios of two leading newspaper companies, and includes USA Today, Gannett’s flagship brand, and its more than 160 brands in the U.K. Cravath is representing New Media in connection with the transaction.
