On September 23, 2022, Cravath partner Michael L. Arnold participated in the 2022 Ray Garrett Jr. Corporate & Securities Law and Corporate Counsel Institute, which was hosted by the Northwestern Pritzker School of Law from September 21‑23 in Chicago. Michael spoke on a panel entitled “ESG is Everywhere: Putting it in Perspective for Your Business,” which reviewed best practices in ESG programs, including pitfalls to avoid and current trends, how to set climate goals and steps for preparing SEC and other climate disclosures.

On August 4, 2022, Atlas Air, a leading global provider of outsourced aircraft and aviation operating services, announced that it has entered into a definitive agreement to be acquired by an investor group led by funds managed by affiliates of Apollo together with investment affiliates of J.F. Lehman & Company and Hill City Capital in an all‑cash transaction with an enterprise valuation of approximately $5.2 billion. Cravath is representing Atlas Air in connection with the transaction.

Cravath represented IsoPlexis Corporation in connection with its $125 million initial public offering of common stock. IsoPlexis Corporation is a life sciences company building solutions to accelerate the development of curative medicines and personalized therapeutics. The shares were listed on The Nasdaq Global Select Market. The transaction closed on October 12, 2021.

On March 18, 2021, National Grid plc (“National Grid”) announced that it has agreed to acquire Western Power Distribution, the UK’s largest electricity distribution business, from PPL Corporation (“PPL”) for an equity value of £7.8 billion, and that National Grid has agreed to sell The Narragansett Electric Company, Rhode Island’s largest electricity transmission and distribution service provider, to PPL for an equity value of $3.8 billion. Cravath is representing National Grid in connection with the transactions.
