On March 25, 2021, Cravath prepared for its clients a memo entitled “Responding to the ESG Paradigm Shift: Practical Steps for Boards and Management,” which discussed actions companies can implement as part of developing appropriate governance, oversight and reporting processes related to environmental, social and governance (“ESG”) matters. The memo provides practical insight on how companies can improve their ESG strategic planning, engagement and reporting practices in the short-term even before definitive disclosure rules are announced, including by developing ESG-focused knowledge and procedures for subsequent maintenance, assessing themselves and the ESG demands of company stakeholders and influencing developments in the ESG space.
