Four Decades for Justice
On October 21, 2020, Cravath partner Sasha Rosenthal-Larrea was featured as one of New York Law Journal’s “Rising Stars” of 2020. The annual feature recognizes New York’s most promising young lawyers who have demonstrated strong leadership qualities, expertise in their practice areas and contributions to pro bono, charitable and professional volunteer work. The feature highlights Sasha’s work on high‑yield debt offerings and leveraged acquisition finance and syndicated loans, and her role as Cravath’s 2020 Leadership Council on Legal Diversity Fellow and Partner Liaison for the Hispanic/Latinx Affinity Group, and with the Firm’s LGBTQ+ Affinity Group and Women’s Initiative and Diversity Committee. Sasha notes the importance for young lawyers of understanding clients’ goals and constraints in becoming capable of handling their most complex and important matters.

Cravath represented the borrower, Alliance Laundry Systems LLC, in connection with the arrangement of its $1.150 billion credit facilities provided by a syndicate of banks led by Bank of America, N.A. The facilities consisted of a $1.025 billion term loan facility and a $125 million revolving credit facility. Alliance Laundry Systems, a world leader in commercial laundry, is an affiliate of BDT Capital Partners. The transaction closed on February 28, 2019.

Cravath represented Credit Suisse as administrative agent and lead arranger in connection with the arrangement of $745 million of credit facilities made available to Upstream Rehabilitation, Inc., a leading provider of outpatient clinics and rehabilitation therapy centers. The facilities consisted of a $50 million first lien revolving credit facility, a $555 million first lien term loan facility and a $140 million second lien term loan facility. The transaction closed on November 20, 2019.

Cravath represented Credit Suisse, as administrative agent and lead arranger, in connection with the arrangement of $725 million of first lien credit facilities made available to Sorenson Communications, LLC, a provider of videophones and software to deaf and hard-of-hearing individuals. The credit facilities consisted of a $700 million term facility and a $25 million revolving credit facility. The transaction closed on April 29, 2019.

Cravath represented the initial purchasers, led by Morgan Stanley, Goldman Sachs, Citigroup and J.P. Morgan Securities, in connection with the $2.65 billion 144A/Reg. S high‑yield senior subordinated notes offering of TransDigm Inc., a leading global designer, producer and supplier of highly engineered aircraft components. The transaction closed on November 13, 2019.
