Cravath’s New York Office Moves to Two Manhattan West
Kathryn-Ann Stamm advises and provides support to the Firm’s clients regarding the protection, growth and management of their intellectual property and technology assets, data security and general privacy matters.
Ms. Stamm has in‑depth knowledge and experience implementing these strategies in the context of corporate transactions such as mergers and acquisitions, spin‑offs and separations, licensing arrangements, partnerships, joint ventures and collaborations.
Handling both domestic and cross‑border transactions, Ms. Stamm provides public and private companies with advice tailored to their unique requirements. She also works extensively with startup, founder‑led and emerging growth companies on maximizing their intellectual property portfolio and preparing their IP, IT security and data management strategies for success in the next stage of their growth cycle.

(“Martin Marietta”) announced that on February 11, 2024, it entered into a definitive agreement to acquire 20 active aggregates operations in Alabama, South Carolina, South Florida, Tennessee, and Virginia from affiliates of Blue Water Industries LLC (“BWI Southeast”) for $2.05 billion in cash. Additionally, on February 9, 2024, Martin Marietta completed its previously announced divestiture of its South Texas cement and related concrete operations to CRH Americas Materials, Inc., a subsidiary of CRH plc, for $2.1 billion in cash. On February 1, 2024, DRI Healthcare Trust (“the Trust”), a global leader in providing financing to advance innovation in the life sciences industry, announced it has expanded its interest in royalties on the U.S. net sales of Omidria® by amending its existing agreement with Omeros Corporation ("Omeros") for $115 million on closing and up to $55 million in potential sales‑based milestone payments. As a result, the Trust will now receive 100% of Omeros’s royalties on the U.S. net sales of Omidria® through December 31, 2031. The joint venture will exclusively manufacture and supply products incorporating the combined technologies to leading original equipment manufacturers and customers in the Americas, Africa, and Australia. On December 18, 2023, ZimVie Inc. (“ZimVie”), a global life sciences leader in the dental and spine markets, announced it has entered into a definitive agreement to sell its spine business to H.I.G. Capital, a leading global alternative investment firm. Under the terms of the agreement, upon the closing of the transaction, ZimVie will receive $375 million in total consideration, comprised of $315 million in cash, subject to certain customary adjustments as set forth in the agreement, and $60 million in the form of a promissory note that will accrue interest at a rate of 10% per annum, compounded semi‑annually, payable in kind. Cravath is representing ZimVie in connection with the transaction.

The event convened women entrepreneurs and business leaders, experts and executives from across the globe to discuss how to build partnerships and the value of collaboration in entrepreneurship. Kathryn‑Ann led a multi‑day learning lab entitled “The Elements of Win‑Win Partnerships,” which equipped attendees with an in‑depth roadmap to prepare, create and nurture mutually beneficial partnerships for their businesses. Through the learning lab, Kathryn‑Ann provided attendees with a comprehensive toolkit, empowering them to successfully navigate the lifecycle of partnerships while effectively protecting their own business interests and intellectual property.
