Kathryn-Ann Stamm advises and provides support to the Firm’s clients regarding the protection, growth and management of their intellectual property and technology assets, data security and general privacy matters.

Ms. Stamm has in‑depth knowledge and experience implementing these strategies in the context of corporate transactions such as mergers and acquisitions, spin‑offs and separations, licensing arrangements, partnerships, joint ventures and collaborations.

Handling both domestic and cross‑border transactions, Ms. Stamm provides public and private companies with advice tailored to their unique requirements. She also works extensively with startup, founder‑led and emerging growth companies on maximizing their intellectual property portfolio and preparing their IP, IT security and data management strategies for success in the next stage of their growth cycle.

Ms. Stamm was named a Trailblazer in IP in the World Intellectual Property Review’s 2024 Diversity Top 100 list and was listed in the “Women Who Will” 2024 report by Next 100 Years & Obelisk Support.

Ms. Stamm is regularly invited to speak on these topics, including at the 2022 and 2023 Center for Global Enterprise USA Women Entrepreneurship Cooperative Legal Pop‑Up Sessions. She sits on the Board of Stewards for the African Women Entrepreneurship Cooperative.

Ms. Stamm grew up in South Africa and France. She received an LL.B. from King’s College London, a Master I and a Master II from University Paris 1 Panthéon‑Sorbonne, an LL.M. from City University of Hong Kong School of Law and a J.D. from Cornell Law School.

Ms. Stamm joined Cravath in 2016 and from 2020 to 2022 served as Senior Court Counsel to the Supreme Court of the Republic of Palau. She rejoined Cravath in 2022, where she continued to co‑captain the Cravath Sailing Team. Ms. Stamm was elected of counsel in 2023.

(“Costamare”) announced that it has completed the spin‑off of its dry bulk business into a standalone public company, Costamare Bulkers Holdings Limited (“Costamare Bulkers”). Each holder of Costamare common shares received one common share of Costamare Bulkers for every five Costamare common shares held as of the close of business on April 29, 2025. Financial terms of the transaction were not disclosed. Cravath is representing OMERS Private Equity in connection with the transaction.

DRI Healthcare Trust’s Acquisition of a Synthetic Royalty Interest in the Worldwide Sales of Sebetralstat and Equity Investment in KalVista Pharmaceuticals

On November 4, 2024, DRI Healthcare Trust (“the Trust”), a global leader in providing financing to advance innovation in the life sciences industry, announced it has acquired a royalty interest in the worldwide net sales of all formulations of sebetralstat, an investigational oral plasma kallikrein inhibitor for the treatment of Hereditary Angioedema, from KalVista Pharmaceuticals ("KalVista") for an aggregate purchase price of up to $179 million, comprised of a $100 million upfront payment, up to $57 million in a sales-based milestone payment and a one-time $22 million optional payment. Additionally, the Trust is making a $5 million investment in KalVista’s common stock in a private placement transaction. Cravath is representing DRI Healthcare Trust in connection with the transaction.

Vista Outdoor’s $1.125 Billion Sale of Revelyst to SVP

On October 4, 2024, Vista Outdoor Inc. (“Vista Outdoor”), the parent company of more than three dozen renowned brands that design, manufacture and market sporting and outdoor products, announced it has entered into a definitive agreement with funds managed by Strategic Value Partners, LLC, and its affiliates (“SVP”), a global alternative investment firm with approximately $19 billion of assets under management, to sell Revelyst in an all‑cash transaction based on an enterprise value of $1.125 billion. In connection with the SVP Transaction, Vista Outdoor also entered into an amendment to the merger agreement with Czechoslovak Group a.s. (“CSG”) to acquire The Kinetic Group, increasing the purchase price for The Kinetic Group to $2.225 billion. Together, the CSG Transaction and the SVP Transaction represent an enterprise value of $3.35 billion for Vista Outdoor and will deliver an estimated $45 per share in cash to Vista Outdoor stockholders. Cravath is representing Vista Outdoor in connection with the transaction.

Cravath of counsel Kathryn-Ann Stamm participated in the African Women Entrepreneurship Cooperative’s 2024 General Assembly, which was held from April 17‑19, 2024, in Gaborone, Botswana. The event convened women entrepreneurs and business leaders, experts and executives from across the globe to discuss how to build partnerships and the value of collaboration in entrepreneurship. Kathryn‑Ann led a multi‑day learning lab entitled “The Elements of Win‑Win Partnerships,” which equipped attendees with an in‑depth roadmap to prepare, create and nurture mutually beneficial partnerships for their businesses. Through the learning lab, Kathryn‑Ann provided attendees with a comprehensive toolkit, empowering them to successfully navigate the lifecycle of partnerships while effectively protecting their own business interests and intellectual property.
