Kris F. Heinzelman retired from Cravath’s Corporate Department in December 2016. He was the Corporate Hiring Partner from 1987 to 1989, the Corporate Managing Partner from 1992 to 1997 and the Head of the Corporate Department from 2002 to 2008. More recently, he served as the Chair of our Securities Practice.
Mr. Heinzelman’s practice consisted primarily of domestic and international corporate finance transactions, including public and private offerings of debt and equity securities. A significant portion of Mr. Heinzelman’s practice was devoted to representing investment banking firms, which included Credit Suisse, Goldman, Sachs & Co., J.P. Morgan and Morgan Stanley, among others. He also represented a number of corporate clients of Cravath, including Cummins, Naspers, Olin and Barnes & Noble.
Mr. Heinzelman routinely represented underwriters in IPOs, including the IPOs for Diamond Resorts International, Inc., Annie’s, Inc., Bridgepoint Education, Inc., EnergySolutions, Deltek, North American Energy Partners, Alon USA Energy, Lazard Ltd, Overnite Corporation, Commercial Vehicle Group, Weight Watchers, Global Power Equipment Group, Integrated Defense Technology and AMIS Holdings, in secondary common stock offerings, including for Orbitz Worldwide, in Rule 144A/Reg. S high‑yield offerings, including for Reynolds Group, Rotech Healthcare, Visant Corporation, Diamond Resorts, Freescale Semiconductor, PanAmSat, Borden Chemical, AmeriPath, Burns Philp, Jostens, Jacuzzi, Pathmark and CITGO, and in registered investment grade offerings, including for Credit Suisse, Hewlett‑Packard, Raytheon, Yellow Roadway and Coors Brewing. He also had extensive experience representing issuers in their IPOs and was the lead lawyer for Cravath in IPOs for Planet Hollywood, Steelcase Inc., MIH Limited and OpenTV.
Mr. Heinzelman was repeatedly recognized as one of the country’s preeminent practitioners in capital markets by, among others, Chambers USA, Chambers Global, The Legal 500 US, Lawdragon, The Best Lawyers in America, IFLR1000, Super Lawyers and The International Who’s Who of Capital Market Lawyers. In 2017, Mr. Heinzelman was named to the Lawdragon Hall of Fame and The Legal 500 US Hall of Fame in the Capital Markets: High‑Yield Debt Offerings category. He was recognized as a nationwide “Legend” by Lawdragon in 2015 and was Lawyer of the Year in the category of New York City Securities/Capital Markets Law by The Best Lawyers in America in 2011. While Mr. Heinzelman led Cravath’s securities practice, it received the highest ranking by Chambers USA for its “incomparably deep and broad knowledge of the U.S. capital market.”
Mr. Heinzelman was born in Monroe, Wisconsin. He received an A.B. magna cum laude and an M.A. from Brown University in 1973, where he was elected to Phi Beta Kappa. He received a J.D. from Yale Law School in 1976.
