Cravath’s corporate lawyers advise clients on a wide range of international transactions, including cross‑border mergers and acquisitions, private equity deals, takeover defense, complex restructuring transactions, liability management, international capital markets and other cross‑border financings, including IPOs, bond offerings and bank financings. Our litigators regularly represent international clients involved in actual and potential litigation in the United States, as well as arbitrations and other disputes conducted throughout the world, involving diverse areas of U.S. law such as the Alien Tort Claims Act, antitrust, bankruptcy, contracts and commercial disputes, corporate governance, the False Claims Act, the Foreign Corrupt Practices Act (“FCPA”), intellectual property, the Racketeer Influenced and Corrupt Organizations Act (“RICO”) and securities. Significant cross‑border M&A transactions that Cravath has recently led include Linde’s merger of equals with Praxair; Luxottica’s combination with Essilor; AXA’s acquisition of XL Group; Barrick’s merger with Randgold; Novartis’s acquisition of Endocyte; Richemont’s acquisition of YOOX Net‑A‑Porter Group; Orbotech’s acquisition by KLA‑Tencor; Zodiac Aerospace’s sale to Safran; British American Tobacco’s merger with Reynolds American; Johnson & Johnson’s acquisition of Actelion and its acquisition of Ci:z; Jose Cuervo in its acquisition of Pendleton Whiskey Brands; Mylan’s acquisition of Meda; Grupo Modelo’s sale to Anheuser‑Busch InBev; and Anheuser‑Busch InBev’s acquisition of SABMiller and the sale of its equity stake in Coca‑Cola Beverages Africa to The Coca‑Cola Company.

We also advised HM Treasury on the U.K. bank rescues, the Irish Treasury on the Irish bank rescues and Deutsche Bank with respect to the rescue financing for Hypo Real Estate. In addition, in the United States, Cravath has had a significant involvement in matters relating to the financial crisis and the U.S. government’s Troubled Asset Relief Program (TARP).

Our international capital markets practice includes representing issuers and underwriters on IPOs, other equity offerings, investment grade and high‑yield bond offerings, sovereign debt offerings, ADR and GDR offerings, U.S. listings, real estate financings and collateralized securities. These offerings may be outside the United States or targeted at U.S. investors. We have been involved in debut international bond offerings by Bacardi, British American Tobacco and Sappi; numerous bond offerings for the European Investment Bank; rights offerings by AXA, Crédit Agricole, Kloeckner & Co, Peugeot, Punch Taverns, Sappi and Steria; as well as other equity placements for clients, such as Vestas Wind Systems. Our representation also includes alerting clients to newly enacted U.S. securities laws and exchange and SEC rules and regulations, as well as advising them with respect to compliance with these requirements. Our partners maintain strong relations with members of the SEC staff and, when the need arises, will help our foreign clients resolve potential reporting and compliance issues.

Cravath is known for the breadth and depth of its litigation experience. We are routinely called upon to represent non‑U.S. companies in many of the largest and most complex litigations and domestic and international arbitrations (including ICC, LCIA, AAA and private arbitrations), before administrative agencies and regulatory authorities and in virtually every other type of proceeding, including internal investigations. Companies, boards and executives regularly rely on the Firm to handle contested transactions and guide them through the intricacies of shareholder litigation and government investigations. In addition to handling antitrust litigation, we advise on business conduct or potential investments to ensure compliance with antitrust laws and represent clients in securing regulatory approvals. A significant portion of our litigation work relates to contracts and commercial disputes, often in the form of business torts as well as other areas of general business litigation. We handle a broad range of complex and challenging matters involving intellectual property across all industries, from computers to biotechnology and pharmaceuticals to recording technology. In the area of securities litigation, Cravath is widely recognized for handling complex and often precedent‑setting cases.

Cravath’s arbitration experience arises from and is rooted in its litigation practice. We have successfully represented U.S. and non‑U.S. companies in domestic and international arbitrations involving diverse industries and various areas of the law. We have represented clients in disputes administered by the International Chamber of Commerce, the American Arbitration Association, WIPO and the London Court of International Arbitration, as well as “ad hoc” arbitrations. We have handled arbitrations under the UNCITRAL rules and under the United Nations Convention on the Law of the Sea. In addition, our partners and retired partners from time to time are nominated by experienced litigators at other major firms to serve as arbitrators.
