Practice Overview

Antitrust

Cravath represents corporate clients, financial institutions and their boards of directors with respect to their most sensitive antitrust matters in domestic and cross‑border transactions, including joint ventures, mergers, acquisitions and dispositions. Our lawyers have extensive experience advising clients with respect to all aspects of antitrust law that arise in connection with prospective business transactions, such as strategic advice and representation related to governmental investigations, regulatory requirements and antitrust compliance, as well as day‑to‑day antitrust matters.

With respect to proposed business transactions, both friendly and hostile, we work closely with our clients from the onset to develop a global strategy to account for antitrust risks and multijurisdictional clearance requirements. Our lawyers assess antitrust implications and structure transactions to address any potential antitrust issues in a preemptive manner. The depth of our legal expertise combined with our significant agency and industry experience enable us to provide our clients integrated solutions, including proper risk allocation, negotiating remedies with enforcement authorities and ongoing compliance obligations under such remedies.

Cravath’s antitrust practice also provides counseling to clients with respect to their day‑to‑day business practices, including the nexus between antitrust law and intellectual property. We regularly advise companies in the cable, media, pharmaceuticals, healthcare, airline, consumer products, technology, blockchain and financial technology (FinTech) and financial services industries.
