Private Equity

Cravath brings its broad range of experience in mergers and acquisitions, commercial bank finance and securities work to bear in our work for private equity clients. Our private equity practice includes all aspects of transactional work, including representing private equity funds in the purchase and sale of their portfolio assets, as well as representing companies as sellers of assets to private equity funds or purchasers of fund assets. In addition, we have represented several funds in their financings and launchings of public funds.

The combined knowledge and experience of our mergers and acquisitions partners, together with the unparalleled expertise of the Firm’s securities and banking partners, provide a significant advantage to Cravath’s private equity clients, whose business transactions often traverse several of these areas. Over the years, we have represented various types of private equity clients, including traditional leveraged buy‑out funds, real estate funds and hedge funds.

The Firm has represented private equity firms in many noteworthy transactions, including representing EQT Partners in connection with the US$4.5 billion sale of KBW to Liberty Global, Terra Firma in financing its £825 million acquisition of Four Seasons and advising Lindsay Goldberg LLC in connection with Rosetta Marketing Group’s US$575 million sale to Publicis Groupe.

Historically, Cravath has been at the forefront of legal innovation in the private equity sphere. The Firm successfully pioneered the process of creating publicly listed funds for the established U.S. private equity community. Cravath represented RHJ International, the successor to the private equity fund managed by Ripplewood Holdings LLC in Japan, in connection with its reorganization from a private equity fund into a public company and its US$904 million 144A/Reg. S global offering and listing on the Eurolist by Euronext Brussels. We also participated in two additional public offerings for U.S. private equity firms: KKR Private Equity Investors, L.P. and AP Alternative Assets L.P., affiliates of Kohlberg, Kravis, Roberts & Co. and Apollo Management L.P., respectively.
