On September 20, 2012, Cravath prepared for its clients a memo entitled “SEC Proposes Rule on General Solicitation in Certain Unregistered Securities Offerings.” The memo summarizes the SEC’s August 29, 2012, release proposing rules ending the prohibition against general solicitation and advertising in certain securities offerings pursuant to Rule 506 of Regulation D and Rule 144A under the Securities Act of 1933. The rules were proposed in response to requirements of the “Jumpstart Our Business Startups Act,” which became law on April 5, 2012.
