ACE’s High‑Yield Senior Secured Notes Offering

December 20, 2017

Cravath represented the initial purchasers, led by Credit Suisse and Jefferies, in connection with the $350 million 144A/Reg. S high‑yield senior secured notes offering of ACE Cash Express, Inc., a leading consumer services company providing a broad suite of financial products to customers. The transaction closed on December 15, 2017.

The Cravath team included partner Craig F. Arcella and associates Eric M. Wasserstrum and Valerie Sapozhnikova on securities matters, and associate Tara L. Rhoades on tax matters. Samuel A. Lifton also worked on securities matters and Leon B. Dalezman worked on tax matters.

    Cravath represented the initial purchasers in connection with the $1.4 billion and €850 million Rule 144A/Reg. S high yield senior secured notes offering of Albion Financing 1 S.à r.l and Aggreko Holdings Inc., subsidiaries of Albion Holdco Limited (“Aggreko”), for the purpose of repaying all of Aggreko’s outstanding senior secured notes and senior notes, paying a dividend and repaying certain preference shares. The offering closed on May 21, 2025.
