Cravath’s London Office Moves to 100 Cheapside

Cravath partners Alyssa K. Caples, Nicholas A. Dorsey and Daniel J. Cerqueira spoke at the International Bar Association’s 2025 Annual Conference, which was held November 2-7 in Toronto and convened legal professionals from across the globe.
Alyssa spoke on a panel entitled “Capital Markets Solutions to Financing the Green/Energy Transition,” which discussed challenges in financing the green transition, including the utility of taxonomies, fiduciary duty concerns and current trends. Nick co-chaired a workshop entitled “Advising Closely Held Companies When Stakeholders’ Interests May Diverge,” which covered tips on navigating dynamics between majority and minority shareholders, advising the company in family disputes and stalemate/deadlock situations, balancing family interests against outside investor interests, balancing trust with express legal rights and obligations, compensation considerations and change of control and exit transactions. Dan spoke on a panel entitled “Running Auctions or Strategic Review Processes – Legal Tips and Advice,” which explored the legal structuring of competitive processes and how to partner with clients and deal teams, including the use of process letters and staged bidding, confidentiality management, diligence protocols, exclusivity arrangements and the allocation of liability through preliminary documentation.
