Analog Devices, Inc.’s $1.1 Billion Senior Notes Offering

April 15, 2024

Cravath represented the underwriters in connection with the $1.1 billion senior notes offering of Analog Devices, Inc., a world leader in the design, manufacture and marketing of a broad portfolio of solutions that leverage high‑performance analog, mixed‑signal and digital signal processing technology, including integrated circuits, algorithms, software and subsystems. The transaction closed on April 3, 2024.

The Cravath team included partner Douglas Dolan and associate Ori Oren on capital markets matters, and partner Andrew T. Davis on tax matters. Nida Tahira Naqvi also worked on capital markets matters and Jessica Shung worked on tax matters.

Cravath also represented the dealer managers in connection with the concurrent cash tender offers for notes of Alcoa Nederland Holding B.V., a wholly owned subsidiary of Alcoa Corporation, with an aggregate principal amount of up to $1 billion. The transactions closed on March 17, 2025.
