Aqua America’s $1.3 Billion Common Stock Offering and Concurrent $690 Million Offering of Tangible Equity Units

May 06, 2019

Cravath represented the underwriters, led by Goldman Sachs & Co. LLC and RBC Capital Markets, in connection with the $1.3 billion common stock offering and the $690 million tangible equity units offering of Aqua America, a holding company for regulated utilities providing water or wastewater services. Proceeds of the offering are anticipated to be used to finance the pending acquisition of Peoples Natural Gas Company LLC. The transactions closed on April 23, 2019.

The Cravath team included partners Stephen L. Burns and Andrew J. Pitts, associates Ryan J. Patrone, Julia H. Rhieu and Peter Y. Shin and foreign associate attorney Henry J.
