Cravath’s London Office Moves to 100 Cheapside

On January 31, 2013, Scientific Games Corporation and WMS Industries Inc. announced that they have entered into a definitive agreement under which Scientific Games will acquire WMS for US$26.00 in cash per common share or approximately US$1.5 billion. Cravath represented BofA Merrill Lynch and Credit Suisse in connection with arrangement of committed financing for the transaction. The acquisition, which is subject to the approvals of WMS shareholders and gaming regulatory authorities and other customary closing conditions, is expected to be completed by the end of 2013.

Cravath represented the administrative agent, joint lead arranger and joint bookrunner in connection with $1.8 billion of credit facilities made available to Crane Company, as part of the financing transactions undertaken in connection with its pending acquisition of Precision Sensors & Instrumentation (“PSI”) product line from Baker Hughes, a leading energy technology company with a diversified portfolio of technologies and services that span the energy and industrial value chain. Crane Company is a leading industrial manufacturing and technology company. The credit facilities consisted of a $900 million term loan facility and a $900 million revolving credit facility. The transaction closed on September 30, 2025.

Verisk is a leading data, analytics and technology provider serving clients in the insurance ecosystem. The credit facilities consisted of a $750 million term loan facility and a $1.25 billion revolving credit facility. The transaction closed on August 15, 2025.
