Cravath’s London Office Moves to 100 Cheapside
Cravath partner Arvind Ravichandran authored an article entitled “Modern FIRPTA: A Transactional Perspective,” which was published by Tax Notes Federal, Taxes Notes State and Tax Notes International on May 16, 2022. Arvind reviews various key features of and exceptions to the U.S. 1980 Foreign Investment in Real Property Tax Act (“FIRPTA”), which is meant to ensure that a foreign person is taxed on direct or indirect dispositions of U.S. real property in the same way as a U.S. person, with a particular focus on recent statutory developments and changes in the marketplace. The article applies the FIRPTA rules to several common types of transactions, including private and public M&A and private equity investments, and provides three tables identifying potential FIRPTA implications for different classes of interests and investors.
