Baker Hughes’s $3.95 Billion Senior Notes Offering

December 21, 2017

Cravath represented the initial purchasers, led by Morgan Stanley, Barclays, Citigroup, Deutsche Bank Securities, Bank of America Merrill Lynch, HSBC, J.P. Morgan Securities and UniCredit Capital Markets, in connection with the $3.95 billion 144A/Reg. S senior notes offering of Baker Hughes, a GE company, and Baker Hughes Co‑Obligor, Inc. Baker Hughes is a leading supplier of oilfield services, products, technology and systems. Cravath also represented the dealer managers in connection with concurrent debt self‑tender offers by Baker Hughes. The transaction closed on December 11, 2017.

The Cravath team included partners Andrew J. Pitts and D. Scott Bennett and associates Major C. McCargo and Sean M. Linnehan on securities matters; senior attorney Annmarie M. Terraciano on environmental matters; and associate Damien J. Rose and foreign associate attorney Jean‑Baptiste Frantz on tax matters. D. Ryan Hart also worked on securities matters.

        Cravath represented the initial purchasers in connection with the $1.4 billion and €850 million Rule 144A/Reg. S high yield senior secured notes offering of Albion Financing 1 S.à r.l and Aggreko Holdings Inc., subsidiaries of Albion Holdco Limited (“Aggreko”), for the purpose of repaying all of Aggreko’s outstanding senior secured notes and senior notes, paying a dividend and repaying certain preference shares. The offering closed on May 21, 2025.
