Barnes & Noble’s Acquisition of Borders IP Assets

On September 26, 2011, the U.S. Bankruptcy Court for the Southern District of New York approved Barnes & Noble’s acquisition of all the intellectual property assets, including all trademarks and the database of approximately 48 million customers, from the Borders bankruptcy estate. Cravath represented Barnes & Noble in connection with this transaction. The sale was conducted as a bankruptcy auction and is expected to close on September 30, 2011.

The Cravath team was led by partner Paul H. Zumbro and included associates Benjamin M. Smith, Colin M. Bennett and Lindsay W. Bowen.
