CB Escrow Corp.’s High‑Yield Senior Notes Offering

Cravath represented CB Escrow Corp. in connection with its $350 million 144A/Reg. S high‑yield senior notes offering. CB Escrow Corp. is a wholly owned subsidiary of Cincinnati Bell Inc., a provider of integrated communications and IT solutions. Proceeds of the offering will be used to finance the acquisition of Hawaiian Telecom Holdco, Inc. by Cincinnati Bell. Following the acquisition, CB Escrow Corp. will merge with and into Cincinnati Bell. The transaction closed on October 6, 2017
