Chesapeake Energy’s High-Yield Senior Debt Offering

February 11, 2011

Cravath represented Morgan Stanley and Wells Fargo as underwriters in connection with a US$1 billion registered high-yield senior debt offering by Chesapeake Energy Corporation, the second largest producer of natural gas and a top 20 producer of oil and natural gas liquids in the United States at the time of the offering. The transaction closed on February 11, 2011.

The Cravath team included partner Stephen L. Burns, senior attorney Daniel A. O’Shea and associates Christopher R. Moore and Danton J. Hill on corporate matters and partner Stephen L. Gordon and associate Jonathan J. Katz on tax matters.

        Cravath represented the initial purchasers in connection with the $1.4 billion and €850 million Rule 144A/Reg. S high yield senior secured notes offering of Albion Financing 1 S.à r.l and Aggreko Holdings Inc., subsidiaries of Albion Holdco Limited (“Aggreko”), for the purpose of repaying all of Aggreko’s outstanding senior secured notes and senior notes, paying a dividend and repaying certain preference shares. The offering closed on May 21, 2025.
