Chrysler’s Senior Debt Offering

May 24, 2011

Cravath represented the initial purchasers (led by BofA Merrill Lynch, Goldman, Sachs & Co., Citi and Morgan Stanley) in connection with the US$3.2 billion 144A/Reg. S high-yield secured senior debt offering of Chrysler Group, LLC, a leading North American automotive manufacturer. Cravath also represented Morgan Stanley, Goldman Sachs & Co., Citi and BofA Merrill Lynch as lead arrangers of US$4.3 billion of senior first-lien credit facilities for Chrysler, consisting of a US$3.0 billion Tranche B Term Facility and a US$1.3 billion Revolving Credit Facility. The transaction closed on May 24, 2011.

The Cravath team included partners William P. Rogers, Jr. and James D. Cooper.
