S high‑yield senior secured notes offering of TransDigm Inc., a subsidiary of TransDigm Group Incorporated, a leading global designer, producer and supplier of highly engineered aircraft components. Cravath also represented the dealer manager in TransDigm Inc.'s concurrent $2.1 billion cash tender offer. The transaction closed on September 28, 2026.

Cravath represented the underwriters in connection with the $800 million registered senior notes offering of Hoffman Schroff Holdings, Inc., an indirect wholly owned subsidiary of nVent Electric plc (“nVent”), a leading global provider of electrical connection and protection solutions. Net proceeds of the offering were used to finance nVent’s acquisition of Maverick Power, LLC. The transaction closed on September 29, 2026.

Cravath represented the underwriters in connection with the registered $1 billion senior notes offering of Kyndryl Holdings, Inc., a leading technology services company and the largest IT infrastructure services provider in the world. The transaction closed on September 28, 2026.
