Cravath Advises on Three Headline Deals Announced on One Day

Cravath recently handled three M&A transactions across three different industries, all of which were announced on Monday, November 3, 2014:

• Publicis Groupe and Sapient announced that they have entered into a definitive agreement under which Publicis Groupe will acquire Sapient in an all-cash transaction for $25.00 per share, or approximately $3.7 billion. • Casa Cuervo and Diageo entered into an agreement under which Casa Cuervo will acquire The “Old Bushmills” Distillery Limited, including the Bushmills® Irish Whiskey brand, and Diageo will acquire full ownership and control of Don Julio Tequila plus cash in the amount of $408 million. A Cravath team led by Mark I. Greene represented Casa Cuervo in this transaction.

• Laboratory Corporation of America® Holdings (LabCorp®) and Covance Inc. announced that they have entered into a definitive agreement under which LabCorp will acquire Covance for cash and LabCorp shares currently valued at $105.12 per Covance share, or an equity value of approximately $6.1 billion. The combination will create the world’s leading healthcare diagnostics company. A Cravath team led by partner Richard Hall represented Covance in this transaction.
