Cravath represented the initial purchasers in connection with the $1 billion 144A convertible senior notes offering, the initial purchasers in connection with the concurrent $1 billion 144A/Reg. S. senior notes offering, and the dealer managers in connection with the concurrent $1.13 billion cash tender offer, of Expedia Group, Inc., an online travel company. The convertible senior notes offering closed on February 16, 2021 and the senior notes offering closed on March 3, 2021.
The Cravath team included partners Stephen L. Burns and Andrew J. Pitts and associates Holden K. Sumner and Joel B. Tay on capital markets matters, and associate Duncan H. Hardell on tax matters. Caroline B. Bowman also worked on capital markets matters.

Cravath represented the administrative agent, joint lead arranger and joint bookrunner in connection with a $2.5 billion revolving credit facility made available to Expedia Group, Inc., one of the world’s largest online travel companies. The transaction closed on March 27, 2026.
