Goodyear’s Convertible Stock Offering

Cravath represented the underwriters, led by Goldman, Sachs & Co., J.P. Morgan Securities, Citi and Credit Agricole CIB, in connection with the US$500 million registered offering of mandatory convertible preferred stock of The Goodyear Tire & Rubber Company, one of the world’s leading manufacturers of tires, engaging in operations in most regions of the world. The shares were listed on the New York Stock Exchange. The transaction closed on March 31, 2011.
