Grupo Modelo’s $20.1 Billion Combination with Anheuser-Busch InBev

Cravath represented Grupo Modelo, S.A.B. de C.V., as U.S. corporate and antitrust counsel in connection with its US$20.1 billion acquisition by Anheuser‑Busch InBev. On June 29, 2012, the companies announced that they had entered into an agreement under which Anheuser‑Busch InBev would acquire the remaining stake in Grupo Modelo that it did not already own for US$9.15 per share in cash. On June 4, 2013, the companies announced that Anheuser‑Busch InBev successfully completed the combination.
