Gulfport Energy Corporation’s High‑Yield Senior Debt Offering and Registered Common Stock Offering

Cravath represented the initial purchasers, led by Credit Suisse and Bank of America Merrill Lynch, in connection with the US$600 million 144A/Reg. S high‑yield senior debt offering of Gulfport Energy Corporation, an independent oil and natural gas exploration and production company. Proceeds of the offering will be used to finance the acquisition of certain assets of Vitruvian II Woodford by Gulfport. Cravath also represented the initial purchasers in connection with Gulfport’s concurrent US$717 million registered common stock offering. The transactions closed on December 21, 2016.

The Cravath team included partner William J. Whelan III and associates Lee M. Blum and Bryan G. Jones on securities matters and associate Andrew T. Davis on tax matters. Michael Zhang also worked on securities matters and Andrew L. Mandelbaum also worked on tax matters.
